Terms of Service

These Terms of Service govern the software development and consulting services provided by Rushabh Consultancy, a business registered in India (“we”, “us”). By engaging our services or using this website, you agree to these terms.

1. Services

We provide AWS cloud services, Microsoft 365 and identity setup, integration of third-party data and CRM platforms, IT setup for new businesses, custom software development, and AI and automation services, together with ongoing support. The scope, deliverables, timelines and fees for each engagement are set out in a written proposal, statement of work or agreement (the “Agreement”). If an Agreement conflicts with these terms, the Agreement prevails.

2. Fees

Our services are provided for a monthly fee in US dollars (USD), agreed in writing before work begins. Any change in scope that affects the monthly fee will be agreed in writing in advance. Applicable taxes are charged as required by Indian law.

3. Invoicing and payment

We issue an invoice at the end of each month for that month’s services. Invoices are payable within the period stated on the invoice (15 days by default) by international bank transfer or another payment method we accept. We may pause work on overdue accounts after giving written notice.

4. Client responsibilities

You agree to provide the information, feedback, access and approvals needed to deliver the services on time. Delays caused by missing inputs may affect timelines and fees.

5. Intellectual property

Once the relevant fees are paid in full, ownership of custom deliverables created specifically for you transfers to you, unless the Agreement says otherwise. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the deliverables. Third-party and open-source components remain subject to their own licences.

6. Confidentiality

Each party will keep the other’s confidential information private and use it only to carry out the engagement, except where disclosure is required by law.

7. Warranty

We will perform the services with reasonable skill and care. Unless the Agreement gives a specific warranty period, we will fix defects in our deliverables that are reported within 30 days of delivery at no extra charge. We do not warrant that software will be error-free or uninterrupted.

8. Limitation of liability

To the extent permitted by law, our total liability for any claim arising from an engagement is limited to the fees you paid for that engagement in the 12 months before the claim. We are not liable for indirect, incidental or consequential losses, including lost profits or data.

9. Termination

Either party may end an engagement as set out in the Agreement or, if the Agreement does not say, with 15 days’ written notice. You will pay for work performed up to the termination date. See our Refund & Cancellation Policy.

10. Governing law

These terms are governed by the laws of India. The courts at Nadiad, Gujarat, India have jurisdiction over any disputes.
